Sponsor This giveaway (the "Giveaway") is sponsored and administered by Cadence Performance Inc., 180 Maiden Lane, New York, NY 10038 (the "Sponsor"). The Giveaway is in no way sponsored, endorsed, administered by, or associated with Instagram, Meta Platforms, Inc. Any questions, comments, or complaints regarding the Giveaway must be directed to the Sponsor, not to Instagram, Meta.  

Eligibility The Giveaway is open only to legal residents of (a) the fifty (50) United States and the District of Columbia, or (b) the United Kingdom (England, Scotland, Wales, and Northern Ireland), who are, in each case, eighteen (18) years of age or older at the time of entry. Void in Rhode Island and where prohibited, taxed, or otherwise restricted by law. By entering, you represent and warrant that you meet all eligibility requirements. The Sponsor reserves the right to verify eligibility and to disqualify any entrant who does not meet the requirements or who is found to have violated these Official Rules. 

International (UK) Entrants and Prize Delivery For entrants residing in the United Kingdom, the Sponsor will make reasonable efforts to ship the physical prize (Cadence Daily Hydration Orange Soda) to a UK address; however, international shipment of food and beverage products may be subject to customs clearance, import duties, VAT, and other restrictions outside the Sponsor's control. UK winners are solely responsible for any applicable customs duties, import taxes, or fees. If shipment of the physical prize to the United Kingdom is impractical, delayed beyond a reasonable time, or restricted by import or export law, the Sponsor reserves the right, in its sole discretion, to substitute a prize of equal or greater value, which may include a gift card or cash-equivalent prize, for UK winners. 

Entry Period The Giveaway begins on July 24, 2026 at 11:00 AM Eastern Time (ET) and ends on August 7, 2026 at 11:59 PM ET (the "Entry Period"). Entries submitted before or after the Entry Period will not be eligible. The Sponsor's computer or designated platform is the official time-keeping device for the Giveaway. 

How to Enter During the Entry Period, eligible entrants may enter using the following method: (1) Follow Cadence, (2) Like the post, (3) Tag a friend.  Each tagged friend counts as one (1) valid entry. There is no limit of entries.  

Giveaway prize (10 winners): Each of ten (10) winners will receive five (5) cases of Cadence Daily Hydration Orange Soda (ARV of $170 per winner; total ARV of all prizes: $1,700). Odds of winning depend on the total number of eligible entries received. Prizes are non-transferable and non-refundable, and no substitution, assignment, or cash equivalent is permitted, except that the Sponsor reserves the right, in its sole discretion, to substitute a prize (or prize component) of equal or greater value if an advertised prize becomes unavailable. The Sponsor is not responsible for the acts, omissions, or product availability of any third-party prize supplier. Third-party prizes are subject to the terms, conditions, and availability set by their respective providers. All prize details not specified in these Official Rules are determined by the Sponsor in its sole discretion. 

Winner Selection and Notification: Ten  (10) winners will be selected in a random drawing from among all eligible entries received during the Entry Period. The drawing will take place during the week commencing August 10, 2026. Winners will be notified by email and/or telephone using the contact information provided at entry. If a selected winner cannot be contacted within five (5) business days of the first notification attempt, fails to respond, declines the prize, is found ineligible, or fails to comply with these Official Rules, the prize may be forfeited and an alternate winner selected at random from the remaining eligible entries, time permitting. The Sponsor is not responsible for entrants' incorrect or out-of-date contact information. 

All federal, state, and local taxes and any other costs and expenses associated with prize acceptance and use not specified herein are the sole responsibility of the winner. The Sponsor is not required to issue tax reporting documentation for prizes valued under the applicable IRS reporting threshold. 

General Conditions By entering, each entrant agrees to be bound by these Official Rules and by the decisions of the Sponsor, which are final and binding in all matters relating to the Giveaway. The Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Giveaway, acting in violation of these Official Rules, or acting in a disruptive manner or with intent to annoy, abuse, threaten, or harass any other person. The Sponsor reserves the right, in its sole discretion, to cancel, suspend, or modify the Giveaway, or any part of it, if any fraud, technical failure, or other factor beyond the Sponsor's reasonable control impairs the integrity or proper functioning of the Giveaway, as permitted by applicable law. Any attempt to deliberately undermine the legitimate operation of the Giveaway may be a violation of criminal and civil law. 

Publicity Release Except where prohibited, acceptance of a prize constitutes the winner's consent to the Sponsor's use of the winner's name, likeness, voice, photograph, city and state of residence, and entry materials for advertising, promotional, and publicity purposes, in any media now known or hereafter developed, worldwide, without further notice, review, approval, or compensation. 

Limitation of Liability and Release By entering, each entrant agrees to release, indemnify, and hold harmless the Sponsor, Walmart Inc., Instagram and Meta Platforms, Inc., prize suppliers, and each of their respective parent companies, affiliates, subsidiaries, officers, directors, employees, and agents (collectively, the "Released Parties") from and against any and all claims, liability, injury, loss, or damage of any kind arising from or in connection with participation in the Giveaway or acceptance, use, or misuse of any prize. The Released Parties are not responsible for: (a) late, lost, incomplete, illegible, misdirected, or undelivered entries; (b) technical, hardware, software, network, telephone, or other failures of any kind; (c) errors in the administration of the Giveaway or processing of entries; or (d) any injury or damage to any person's computer or device related to or resulting from participation in the Giveaway. The Released Parties' total liability is limited to the actual value of the applicable prize. 

Governing Law and Disputes These Official Rules are governed by the laws of the State of New York, without regard to conflict-of-law principles. Except where prohibited, each entrant agrees that any and all disputes arising out of or relating to the Giveaway shall be resolved individually, without resort to any form of class action, in the state or federal courts located in New York County, New York, and each entrant waives all rights to claim punitive, incidental, or consequential damages. Nothing in this Section is intended to limit any statutory rights that UK entrants may have under the laws of England and Wales, Scotland, or Northern Ireland that cannot lawfully be waived. 

Privacy Personal information collected from entrants is used to administer the Giveaway and is handled in accordance with the Sponsor's privacy policy, available on the Sponsor's website. By entering, entrants consent to the collection, use, and disclosure of their personal information for purposes of administering the Giveaway. For entrants located in the United Kingdom, personal information is also processed in accordance with the UK General Data Protection Regulation and the Data Protection Act 2018, and such entrants retain the rights afforded to them under that legislation.
